Terms of Service

1. Agreement to Terms
By accessing or using the AMC Focus Flow platform (“Service”) operated by Albert Mureen Consulting LLC (“AMC,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.
2. Description of Service
AMC Focus Flow is a production optimization platform that combines Lean, Theory of Constraints, and Operations Research methodologies into tools for constraint identification, buffer sizing, and shop floor execution management. The Service includes the LTOCOR™ structural optimization engine and the VSFLOW™ daily execution and control system.
3. Accounts and Registration
You must provide accurate, complete, and current information when registering for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
4. Subscription and Billing
- Free Trial: New accounts on the Diagnostic (Starter) tier receive a 14-day free trial with no credit card required.
- Recurring Billing: Paid subscriptions are billed on a monthly or annual basis. Charges are processed via Stripe.
- Price Changes: We may adjust pricing with 30 days’ notice via email to the account owner.
- Taxes: Prices are exclusive of applicable taxes, which will be added at checkout where required by law.
5. Cancellation and Refunds
- You may cancel your subscription at any time through the billing management portal.
- Cancellation takes effect at the end of the current billing period. You retain access until that date.
- We do not provide prorated refunds for partial billing periods.
- After cancellation, your data is retained in read-only mode for 90 days, after which it may be permanently deleted.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Share account credentials or allow unauthorized third parties to access your account.
- Upload malicious code, interfere with the Service’s infrastructure, or attempt to gain unauthorized access.
- Resell, sublicense, or redistribute the Service without written permission from AMC.
7. Intellectual Property
The Service, including its design, code, algorithms, documentation, and branding (including LTOCOR™ and VSFLOW™), is the intellectual property of Albert Mureen Consulting LLC. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.
You retain ownership of all data you input into the Service. We claim no intellectual property rights over your production data, process configurations, or analysis results.
8. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described therein.
9. Limitation of Liability
To the maximum extent permitted by law, AMC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service.
The Service provides analytical tools and recommendations based on mathematical models. Production decisions remain the sole responsibility of the user. AMC does not guarantee specific operational outcomes, throughput improvements, or financial results.
10. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the account owner at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in Texas.
